1. About these terms
These terms apply to the Beamward website and the Beamward platform, including HighwayDesk, provided by Beamward Ltd ("Beamward", "we", "us") to the business that signs up ("the Customer") and its authorised users. A separate written agreement with a Customer takes priority over these terms where they differ.
2. Business use only
Beamward is provided for business use. By creating an account you confirm you are acting for a business and have authority to accept these terms on its behalf.
3. Accounts and authorised users
- The Customer decides who in its business may use Beamward and what role and module access each person has.
- Each user must have their own login. Logins must not be shared.
- Users must keep their login details secure and tell us promptly at support@beamward.co.uk if they suspect misuse.
- The Customer is responsible for activity under its users' accounts and for removing access when someone leaves.
4. Acceptable use
You must not:
- try to access another company's data, or any part of the platform you have not been given access to;
- test, probe or attempt to bypass security without our written permission;
- upload malicious code, unlawful content, or material you have no right to use;
- overload, disrupt, copy, reverse engineer or resell the platform; or
- use Beamward in breach of any law, including data protection law.
5. Your data and your decisions
The Customer is responsible for the accuracy of what it enters, for having the right to upload it, and for the commercial and contractual decisions it makes.
Beamward is commercial-administration software. It does not provide legal, accounting, tax, quantity-surveying or contractual advice. Calculations, alerts, the Commercial Inbox, Money Recovery Centre, Leakage Detector, Commercial Health scores, director reports, payment and retention information, and permit reminders are tools to help you organise information and make decisions. They depend on the data entered and do not replace your own checks or professional advice where that advice is needed. Please check important figures against your contracts and records before relying on them.
6. Beta service
Beamward is currently in beta. Features may change, be added or be removed, and there may be errors or interruptions. We will try to give notice of significant changes. Beta access may be offered free or on special terms and may be ended by either side.
7. Availability and backups
We aim to keep Beamward available and to protect data using our hosting provider's backup arrangements, but we do not guarantee uninterrupted service during the beta. Planned maintenance or problems with third-party services may cause downtime. We recommend keeping your own copies of key contractual documents.
8. Ownership
Beamward Ltd owns the platform, its software, design, workflows, reports and website content, and the Beamward name. Nothing in these terms transfers those rights to you.
The Customer keeps ownership of the data and files it puts into Beamward. The Customer gives us a licence to host, copy, process and display that data only as needed to provide, support and secure the service, and as set out in our Privacy Policy. We may use feedback you give us to improve Beamward.
9. Confidentiality
We treat Customer data as confidential and will not disclose it except to our service providers who need it to run Beamward, or where required by law. Customers should treat any non-public information about the beta as confidential.
10. Third-party services
Beamward relies on third-party providers for hosting, database, storage and optional Google sign-in. Their services are subject to their own terms and we are not responsible for outages outside our reasonable control.
11. Suspension and ending use
We may suspend access if there is a security risk, a serious breach of these terms, or a legal requirement. You can stop using Beamward at any time. When an account ends, we will, on request made within 30 days, help the Customer export its data in a reasonable format, after which we may delete it, except where we must keep records by law.
12. Liability
Nothing in these terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud. Subject to that, we are not liable for indirect or consequential loss, or for loss of profit, revenue or business opportunity, and our total liability in any 12-month period is limited to the fees paid by the Customer for Beamward in that period (or £100 if no fees were paid). These limits reflect the beta nature of the service and will be reviewed for commercial launch.
13. Changes to these terms
We may update these terms during the beta and will show the date of the latest version on this page. Significant changes will be notified to account owners.
14. Law
These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
